Terms of Service

Last updated: September 1, 2025·Effective: September 1, 2025

IMPORTANT: This is a legally binding agreement between you and Savantli. By creating an account, clicking “I Agree,” or otherwise using the Service, you agree to these Terms in their entirety. Please read them carefully. If you do not agree, do not use the Service.

Introduction

Welcome to Savantli. These Terms of Service (“Terms” or “Agreement”) constitute a legally binding contract between you (“you” or “User”) and Savantli (“Savantli,” “we,” “us,” or “our”) governing your access to and use of the Savantli platform, website, and all related services (collectively, the “Service”).

These Terms apply to all visitors, users, and others who access or use the Service. Additional terms may apply to specific features or promotions and will be disclosed at the relevant point of interaction.

If you are using the Service on behalf of an organization or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

1. Electronic Communications and Consent

1.1 Electronic Agreement

By accessing or using the Service, you consent to receive communications from us electronically. We will communicate with you by email, by posting notices on the Service, or through other electronic means. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

1.2 E-SIGN Compliance

Your click-through acceptance of these Terms, whether by clicking “Create Account,” “I Agree,” “Sign Up,” or any similar button, constitutes your electronic signature and has the same legal effect as a handwritten signature. This consent is given in accordance with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), 15 U.S.C. § 7001, and applicable state electronic transaction laws.

1.3 Withdrawal of Consent

You may withdraw your consent to electronic communications by contacting us at legal@savantli.com. Withdrawal of consent may result in termination of your access to the Service.

3. Eligibility and Account Registration

3.1 Age Requirements

You must be at least 18 years old to create a Mentor account. You must be at least 13 years old to create a Student account. Users between the ages of 13 and 17 may only use the Service with the verifiable consent of a parent or legal guardian. In jurisdictions where the minimum age for digital services consent is higher (for example, 16 years in certain European Union member states), the higher age requirement applies. By creating an account, you represent and warrant that you meet the applicable age requirement for your jurisdiction.

3.2 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to keep that information updated. Providing false information constitutes a material breach of these Terms and grounds for immediate termination.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately at support@savantli.com upon discovering any unauthorized use of your account. We are not liable for loss or damage resulting from your failure to protect your credentials.

3.4 Single Account Policy

Each individual may maintain one Mentor account and one Student account. Accounts are non-transferable and may not be sold, shared, or assigned to any third party.

3.5 Business Accounts

If you are a business, organization, or institution using the Service, the individual creating the account must have authority to bind that entity. The entity and the individual are jointly responsible for compliance with these Terms.

4. The Service — Scope and Limitations

4.1 Technology Platform Only

Savantli is a technology platform that provides tools for organizing, delivering, and automatically grading educational assignments. Savantli is NOT an educational institution, accredited school, tutoring service, or professional advisory service of any kind. We do not credential, certify, license, or endorse any Mentor or their program. We do not design, review, or approve Assignment content.

4.2 No Professional Advice

Nothing on the Service or delivered through the Service constitutes financial advice, investment advice, trading advice, medical advice, fitness advice, legal advice, psychological advice, or any other form of regulated professional advice. Mentors using Savantli to deliver programs in trading, finance, fitness, business, or other regulated areas are solely responsible for ensuring their content complies with all applicable regulations governing the giving of professional advice in their jurisdiction. Students acknowledge that completing Assignments on the Service does not substitute for qualified professional guidance.

4.3 Content Responsibility

Savantli does not create, review, approve, or guarantee the accuracy, quality, safety, legality, or educational value of any Mentor-created content. Mentors bear sole responsibility for all Assignment content, grading decisions, and the conduct of their mentorship programs.

4.4 Service Availability

We strive for high availability but do not guarantee uninterrupted access. The Service may be unavailable due to scheduled maintenance, emergency maintenance, technical failures, or third-party service outages. We will make reasonable efforts to provide advance notice of planned maintenance.

4.5 Beta Status

The Service is currently in beta. During beta, the Service may contain bugs, incomplete features, and functionality that changes without notice. Your use of the Service during beta acknowledges these limitations and constitutes acceptance of this additional risk.

4.6 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will make reasonable efforts to provide 14 days advance notice of material changes. Continued use after modifications constitutes acceptance.

4.7 Third-Party Dependencies

The Service relies on third-party providers including Supabase, Stripe, and Resend. Disruption or changes to these third-party services may affect the Service. We are not liable for disruptions caused by third-party providers.

5. Auto-Grade Feature — Important Disclosure

5.1 Multiple-Choice Auto-Grading

Multiple-choice quiz Assignments are graded automatically and instantly upon Student submission based on the correct answers configured by the Mentor. The accuracy of automatic grading depends entirely on the accuracy of the Mentor's configuration.

5.2 72-Hour Fallback Auto-Grade

For written response and photo submission Assignments, which require manual review by the Mentor, the Service will automatically apply a grade of 70 out of 100 to any Submission that has not been manually reviewed and graded within 72 hours of the time the Student submitted it. This fallback grade will be marked clearly in the system as “Auto-Graded” and will be accompanied by the notation: “This submission was automatically graded after the 72-hour review window. Contact your mentor for personalized feedback.”

5.3 Mentor Obligation

By publishing written response or photo submission Assignments, Mentors agree to review and grade Submissions within 72 hours of receipt. Failure to do so will trigger the fallback auto-grade. Mentors cannot retroactively change an auto-grade once applied except through Savantli's manual correction process.

5.4 Student Acknowledgment

Students acknowledge that if a Mentor does not review their Submission within 72 hours, the Service will automatically apply a grade of 70 out of 100. Students accept this as a condition of using the Service.

5.5 No Grade Appeals Through Savantli

Savantli does not mediate grade disputes between Mentors and Students. Grade disputes are a matter between the Mentor and Student. Savantli may provide grade history data to facilitate such discussions but will not modify grades except in cases of demonstrated technical error.

6. Subscription Plans, Billing, and Auto-Renewal

6.1 Subscription Plans

The Service offers four plans with features and limits as described at savantli.com/pricing:

  • Free Plan: $0. No payment required. Features limited as described on the pricing page.
  • Starter Plan: Billed at the rate displayed at time of subscription, monthly or annually.
  • Pro Plan: Billed at the rate displayed at time of subscription, monthly or annually.
  • Elite Plan: Billed at the rate displayed at time of subscription, monthly or annually.

Only Mentor accounts are subject to subscription fees. Student access to the Service is and will remain free of charge.

6.2 California Auto-Renewal Disclosure

IN COMPLIANCE WITH CALIFORNIA BUSINESS AND PROFESSIONS CODE §17600 ET SEQ., AND SIMILAR LAWS IN OTHER JURISDICTIONS: YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD (MONTHLY OR ANNUALLY, AS SELECTED) AT THE THEN-CURRENT SUBSCRIPTION RATE UNLESS YOU CANCEL BEFORE THE RENEWAL DATE. YOUR PAYMENT METHOD WILL BE CHARGED AUTOMATICALLY AT THE START OF EACH NEW BILLING PERIOD. YOU MAY CANCEL YOUR SUBSCRIPTION AT ANY TIME THROUGH YOUR ACCOUNT BILLING SETTINGS OR BY CONTACTING US AT billing@savantli.com. CANCELLATION TAKES EFFECT AT THE END OF THE CURRENT BILLING PERIOD AND YOU RETAIN ACCESS THROUGH THAT DATE.

6.3 Founding Member Pricing

Mentors designated as Founding Members at account creation are entitled to the reduced rate specified at the time of their subscription for so long as they maintain a continuous, uninterrupted paid subscription. “Continuous subscription” means no lapse in active subscription status exceeding 14 consecutive days. A payment failure that is resolved within 14 days does not constitute a lapse. Upgrading to a higher subscription tier forfeits Founding Member pricing on the original tier, and the Founding Member discount does not automatically apply to upgraded tiers unless expressly stated at time of upgrade. Canceling a Founding Member subscription and later resubscribing permanently forfeits Founding Member pricing.

6.4 Payment Processing

All payments are processed by Stripe. By subscribing, you authorize Stripe to charge your payment method on a recurring basis as described above. You represent that you are authorized to use the payment method provided. All fees are in US Dollars unless otherwise stated. You are responsible for applicable taxes.

6.5 Price Changes

We will provide at least 30 days advance written notice to your account email address before any price change affecting your active subscription. Continued use of the Service after the price change constitutes acceptance. If you do not accept the new price, cancel before the effective date.

6.6 Failed Payments

If a payment fails, we will notify you by email and attempt to process the payment again. If payment is not resolved within 7 days, we may downgrade your account to the Free Plan or suspend access. You remain responsible for all unpaid amounts. Reactivation requires payment of all outstanding amounts.

6.7 Refund Policy

Monthly subscription fees are non-refundable once charged, except where required by applicable law. For annual subscriptions, we offer a full refund if you cancel within 14 days of the initial annual charge or any annual renewal charge, provided you have not created more than 5 Assignments or enrolled more than 10 Students during that period. After 14 days, annual fees are non-refundable. Founding Member pricing subscriptions are non-refundable. We reserve the right to issue refunds at our sole discretion in exceptional circumstances. This policy does not limit any rights you may have under applicable consumer protection laws.

6.8 Billing Disputes

Contact billing@savantli.com within 30 days of any disputed charge. Initiating a payment chargeback without first contacting us may result in account suspension. We will work in good faith to resolve billing disputes promptly.

6.9 Annual Billing

Annual subscriptions are charged in full at the start of each annual period. Annual pricing reflects a discount compared to equivalent monthly pricing. The specific annual rates are displayed at savantli.com/pricing.

7. User Content and Intellectual Property

7.1 Your Content Ownership

You retain all ownership rights in User Content you create, upload, or submit. Assignment content created by Mentors is owned by the Mentor. Submission content created by Students is owned by the Student.

7.2 License to Savantli

By submitting User Content, you grant Savantli a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your User Content solely as necessary to operate and provide the Service. This license terminates when you delete the content or close your account, subject to content retained in backup systems for up to 90 days.

7.3 Content Representations

You represent and warrant that:

  • (a) you own or have all necessary rights to submit the User Content;
  • (b) your User Content does not infringe any third-party Intellectual Property Rights;
  • (c) your User Content complies with all applicable laws; and
  • (d) your User Content does not violate these Terms.

7.4 Mentor Content Responsibility

Mentors are solely responsible for the accuracy, legality, and appropriateness of all Assignment content. Savantli does not review Assignment content before publication. Savantli reserves the right but is not obligated to review and remove content that violates these Terms.

7.5 Savantli Intellectual Property

The Service, including its software, algorithms, grading systems, scoring logic, design, trademarks, and related materials, is the exclusive property of Savantli and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use Savantli's proprietary materials except as necessary to use the Service.

7.6 Feedback License

If you provide feedback or suggestions, you grant Savantli an unlimited, irrevocable, royalty-free license to use such feedback without obligation to you.

8. Acceptable Use Policy

8.1 General Requirements

You may use the Service only for lawful purposes and in accordance with these Terms. The Service is intended for legitimate educational and mentorship activities.

8.2 Prohibited Conduct

You agree not to:

  • (a) Violate any applicable local, national, or international law or regulation;
  • (b) Upload or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable;
(c) Upload, transmit, or display any content that sexually exploits, depicts, or endangers minors in any way whatsoever, including without limitation child sexual abuse material. Violation of this provision will result in immediate permanent account termination and referral to law enforcement.
  • (d) Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • (e) Attempt to gain unauthorized access to any part of the Service or other user accounts;
  • (f) Use automated tools to access or scrape the Service without express written permission;
  • (g) Interfere with or disrupt the Service or its servers or networks;
  • (h) Transmit viruses, malware, or other harmful code;
  • (i) Attempt to reverse engineer any part of the Service;
  • (j) Use the Service to send unsolicited commercial messages to other users;
  • (k) Share your account credentials with any third party;
  • (l) Use the Service to collect personally identifiable information from other users without their consent;
  • (m) Misrepresent grades, certifications, or qualifications obtained through the Service;
  • (n) Use the Service for any purpose unrelated to legitimate education or mentorship;
  • (o) Use the Service to facilitate unlawful financial schemes, fraudulent investment programs, or any other activity prohibited by applicable financial regulations.

8.3 Mentor-Specific Obligations

Mentors additionally agree to:

  • (a) Only invite Students to Classrooms for genuine educational or mentorship purposes;
  • (b) Create Assignment content appropriate for their Student audience;
  • (c) Review and grade written and photo Submissions within 72 hours;
  • (d) Maintain appropriate professional boundaries with Students at all times;
  • (e) Comply with all applicable laws governing their mentorship program, including financial regulations if operating in trading or investment-related niches;
  • (f) Promptly report any safety concerns regarding Students to appropriate authorities;
  • (g) Obtain any necessary consent from Students or their guardians before sharing Student achievement cards or other Student-identified content publicly.

8.4 Content Moderation and Reporting

You may report content that violates these Terms by emailing safety@savantli.com with the specific content location, the nature of the violation, and any supporting information. We will review reports and take appropriate action within a reasonable timeframe. We are not liable for content posted by users but will act in good faith upon receiving valid reports.

8.5 Consequences of Violations

We may remove violating content and suspend or terminate accounts that violate these Terms, with or without notice, at our sole discretion. We may also report illegal activity to appropriate law enforcement authorities.

9. Leaderboard and Student Visibility

9.1 Leaderboard Operation

The Service provides an in-Classroom leaderboard that ranks Students by their overall grade average. Missing Assignments past their due date are counted as zero in grade average calculations. Leaderboard rankings are visible to all members of the same Classroom, including the Mentor and all enrolled Students.

9.2 Student Consent to Leaderboard

By joining a Classroom, Students consent to their name and overall grade average being visible to other Students and the Mentor on the Classroom leaderboard. If a Student does not consent to this visibility, they should not join the Classroom or should contact the Mentor directly.

9.3 Achievement Cards

Students may generate and download achievement cards displaying their grade data. If a Student chooses to share their achievement card publicly, they do so at their own discretion and Savantli bears no responsibility for the public disclosure of that grade information.

9.4 Limitation of Rankings

Leaderboard rankings are for motivational and accountability purposes only. Rankings do not constitute academic credentials, certifications, or professional qualifications of any kind.

10. Data and Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

11. Third-Party Services and Links

11.1 Integrated Services

The Service integrates with third-party providers including Stripe, Supabase, Resend, and Vercel. Your use of these services is additionally subject to their respective terms and privacy policies.

11.2 Embedded Video Content

The Service may embed video content from YouTube and Vimeo for educational purposes. When you interact with embedded video content, those platforms may collect data subject to their own privacy policies. We are not responsible for the privacy practices of YouTube, Vimeo, or any other third-party video provider.

11.3 Third-Party Links

The Service may contain links to third-party websites. We are not responsible for the content, privacy practices, or policies of those websites.

12. Indemnification

You agree to indemnify, defend, and hold harmless Savantli, its officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, losses, costs, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your User Content; (c) your use or misuse of the Service; (d) your violation of any third-party rights; (e) any claim that your mentorship program or Assignment content caused harm to a Student or third party; or (f) your violation of any applicable law or regulation.

13. Disclaimers

13.1 “As Is” Service

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SAVANTLI EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

13.2 No Educational Outcome Guarantee

SAVANTLI MAKES NO WARRANTY THAT THE SERVICE, OR ANY ASSIGNMENT, CURRICULUM, OR CONTENT DELIVERED THROUGH IT, WILL ACHIEVE ANY PARTICULAR EDUCATIONAL RESULT, IMPROVE ANY SKILL, OR PRODUCE ANY PROFESSIONAL OR FINANCIAL OUTCOME. EDUCATIONAL RESULTS DEPEND ENTIRELY ON THE QUALITY OF MENTOR CONTENT AND STUDENT EFFORT.

13.3 No Grading Accuracy Guarantee

SAVANTLI DOES NOT GUARANTEE THAT AUTO-GRADING RESULTS WILL BE FREE OF ERROR IN ALL CIRCUMSTANCES. MENTORS ARE RESPONSIBLE FOR REVIEWING GRADING RESULTS AND CORRECTING CONFIGURATION ERRORS.

13.4 Beta Disclaimer

DURING THE BETA PERIOD, THE SERVICE MAY BE INCOMPLETE, UNSTABLE, OR SUBJECT TO CHANGE WITHOUT NOTICE. USE DURING BETA IS ENTIRELY AT YOUR OWN RISK.

14. Limitation of Liability

14.1 Exclusion of Consequential Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SAVANTLI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF SAVANTLI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14.2 Liability Cap

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SAVANTLI'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID TO SAVANTLI IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) FIVE HUNDRED US DOLLARS ($500). FOR USERS ON THE FREE PLAN WHO HAVE PAID NOTHING, THE LIABILITY CAP IS $500.

14.3 Essential Basis

THE LIMITATIONS IN THIS SECTION REFLECT A REASONABLE AND NEGOTIATED ALLOCATION OF RISK AND ARE AN ESSENTIAL BASIS OF THE AGREEMENT BETWEEN THE PARTIES.

14.4 Jurisdictional Variations

Some jurisdictions do not permit exclusion of certain warranties or limitation of certain damages. To the extent such laws apply, the above limitations may not apply to you in full, but will apply to the maximum extent permitted by applicable law.

15. Force Majeure

Savantli shall not be liable for any delay or failure in performance of the Service resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, government action, power outages, internet outages, telecommunications failures, third-party service failures (including Stripe, Supabase, Resend, or other providers), cyberattacks, or any other event beyond our reasonable control (“Force Majeure Event”). In the event of a Force Majeure Event, we will notify affected users as soon as reasonably possible and will make reasonable efforts to restore Service availability. If a Force Majeure Event continues for more than 30 consecutive days and materially affects your ability to use the Service, you may terminate your subscription for a prorated refund of prepaid fees for the affected period.

16. Termination

16.1 Termination by You

You may close your account at any time through your account settings or by contacting support@savantli.com. Closing your account does not automatically cancel your subscription — cancel your subscription separately through the billing portal. Refunds upon voluntary termination are subject to the Refund Policy in Section 6.7.

16.2 Termination by Savantli

We may suspend or terminate your account for cause at any time without notice, including for violation of these Terms, suspected fraudulent activity, or conduct harmful to the Service or other users. We may terminate accounts without cause upon 30 days written notice to your account email.

16.3 Effect of Mentor Termination on Student Data

If a Mentor's account is terminated for any reason, Students who were enrolled in that Mentor's Classrooms will lose access to those Classrooms and any Assignment history within them. We will make reasonable efforts to notify affected Students by email before such data becomes inaccessible. Students are encouraged to download their grade data and achievement cards while their account remains active.

16.4 Survival

Provisions regarding intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and any other provisions that by their nature should survive, will survive termination of these Terms.

16.5 Data After Termination

Upon account termination, we will retain your data for 30 days during which you may request an export. After 30 days, personal data will be deleted from active systems. Backup copies may persist for up to 90 days before deletion.

17. Dispute Resolution and Governing Law

17.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions.

17.2 Informal Resolution Required

Before filing any formal claim, you must contact us at legal@savantli.com and describe your dispute in reasonable detail. We will attempt to resolve disputes informally within 30 days of receiving written notice.

17.3 Arbitration Agreement

If informal resolution fails, any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, except that either party may seek emergency injunctive relief in a court of competent jurisdiction. You may obtain information about AAA arbitration at adr.org. The arbitration shall be conducted in English and shall be held remotely unless both parties agree otherwise. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

17.4 Arbitration Opt-Out

YOU HAVE THE RIGHT TO OPT OUT OF BINDING ARBITRATION. To opt out, you must send written notice of your decision to opt out to legal@savantli.com within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you are opting out of arbitration. Opting out does not affect any other provisions of these Terms.

17.5 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS.

17.6 Small Claims Court

Notwithstanding the above, either party may bring an individual claim in small claims court if the claim qualifies under that court's jurisdictional requirements.

17.7 Time Limitation

Any claim must be filed within one year of when the claim arose, or it is permanently barred.

18. General Provisions

18.1 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Savantli regarding the Service.

18.2 Severability

If any provision is found unenforceable, the remaining provisions continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

18.3 Waiver

Failure to enforce any right or provision is not a waiver of that right.

18.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms freely.

18.5 No Third-Party Beneficiaries

These Terms are for the benefit of you and Savantli only. No third party has any rights under these Terms.

18.6 Updates to Terms

We may update these Terms at any time. For material changes, we will provide at least 14 days advance notice by email and prominent notice on the Service. Continued use after the effective date constitutes acceptance.
